	Because you can decline the update, though if you do, you won't be able to access Xbox LIVE. It's legality at work.

	And also because turning off the console during an update like that can easily fuck the entire system up, so a prompt effectively serves as forewarning to let the update do its thing uninterrupted. So of course there should be a prompt, even putting aside any legal shit. It would be completely stupid for there not to be one.
